These Terms of Service ("Terms") constitute a legally binding agreement between you and Sidechain ("we," "us," or "our"). By accessing our website at sidechained.net or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
Agreement
By accessing or using the Sidechain website at sidechained.net or engaging our marketing services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our website or services.
2. Services
Description of Services
Sidechain provides digital marketing services to local businesses, including but not limited to: content strategy, social media management, paid advertising, analytics and reporting, website design and development, and on-site content creation.
Service Agreements
Specific service terms, deliverables, timelines, and pricing are outlined in individual service agreements or statements of work provided to each client. In the event of any conflict between these Terms of Service and a specific service agreement, the service agreement shall govern.
Service Modifications
Sidechain reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will make reasonable efforts to notify clients of any material changes to services they have purchased.
3. Payment Terms
Fees and Billing
Service fees are as described in your service agreement or on our website at the time of purchase. All fees are in U.S. dollars. Subscription services are billed on a recurring basis as specified in your service agreement.
Payment Processing
Payments are processed securely through Stripe. By providing payment information, you authorize Sidechain to charge the applicable fees. You agree to Stripe's terms of service in addition to these terms.
Refunds
Refund eligibility is determined on a case-by-case basis and outlined in your specific service agreement. Generally, fees for services already rendered are non-refundable. Please contact us within 14 days of a charge if you believe an error has occurred.
Late Payments
Accounts with overdue balances may be subject to service suspension. Sidechain reserves the right to charge a late fee of 1.5% per month on overdue balances.
4. Client Responsibilities
Accurate Information
You agree to provide accurate, current, and complete information when engaging our services. You are responsible for maintaining the accuracy of any information you provide and for updating it as necessary.
Content Approval
Where applicable, you are responsible for reviewing and approving content created on your behalf within agreed timelines. Delays in approval may affect delivery schedules.
Account Access
You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify Sidechain immediately of any unauthorized use of your account.
Compliance
You agree to comply with all applicable laws and regulations in connection with your use of our services, including laws governing advertising, consumer protection, and data privacy.
5. Intellectual Property
Client-Owned Content
Upon full payment of all applicable fees, content created specifically for you under a service agreement becomes your property. This includes custom graphics, copy, and other deliverables explicitly created for your brand.
Sidechain's Proprietary Materials
Sidechain retains ownership of all proprietary methodologies, templates, tools, processes, and pre-existing intellectual property used in delivering services. Nothing in these terms transfers ownership of Sidechain's proprietary materials to you.
Portfolio Rights
Unless otherwise agreed in writing, Sidechain reserves the right to use work created for clients in our portfolio, case studies, and marketing materials.
6. Confidentiality
Mutual Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship. This obligation survives the termination of any service agreement.
7. Limitation of Liability
No Guarantee of Results
Sidechain makes no guarantee of specific results from our marketing services. Digital marketing outcomes depend on many factors outside our control, including market conditions, platform algorithm changes, and competitive landscape.
Liability Cap
To the maximum extent permitted by law, Sidechain's total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to Sidechain in the three months preceding the claim.
Exclusion of Damages
Sidechain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.
8. Termination
Termination by Client
You may terminate a service agreement in accordance with the notice requirements specified in that agreement. Generally, a 30-day written notice is required for monthly service subscriptions.
Termination by Sidechain
Sidechain reserves the right to terminate services immediately if you breach these Terms of Service, fail to make timely payments, or engage in conduct that is harmful to Sidechain or its other clients.
Effect of Termination
Upon termination, your right to use our services ceases immediately. Provisions of these terms that by their nature should survive termination shall survive, including intellectual property rights, payment obligations, confidentiality, and limitation of liability.
9. Governing Law
Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Florida.
10. Changes to Terms
Updates
Sidechain reserves the right to update these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page with a revised effective date. Your continued use of our services after any changes constitutes your acceptance of the updated terms.
